AMERIPATH ANNOUNCES CHANGES TO BOARD OF DIRECTORS Riviera
Beach, FL, December 20, 2001 - AmeriPath, Inc. (Nasdaq:PATH),
one of the nation's leading providers of anatomic pathology
services, today announced the appointments of Dennis
M. Smith, Jr., M.D. and James T. Kelly to its Board of
Directors. The appointments were made to fill vacancies
created by the resignations of Alan Levin, M.D. and E.
Roe Stamps, IV, who have served as directors since 1996.
Dr. Levin's and Mr. Stamps' active board participation
and business experience have been instrumental in developing
and executing the Company's strategic plan during the
past five years.
Dr. Levin, the Company's Chief Operating Officer, will
be moving into the role of Corporate Vice President and
practicing pathologist. This new assignment, reporting
to the Company's CEO, James C. New, and developed at
Dr. Levin's request, will allow him to focus on physician
relations and communications throughout the Company.
The Company's President, Brian Carr, will take over Dr.
Levin's COO duties.
Mr. Kelly served as the Chief Executive Officer of
Lincare Holdings Inc. from 1986 through 1996, and served
as Chairman of the Board of Lincare from 1994 through
2000. Prior to joining Lincare in 1986, Mr. Kelly spent
19 years with the Mining and Metals Division of Union
Carbide Corporation, serving in a number of sales, operations
and finance positions. Mr. Kelly is currently a director
of American Dental Partners, Inc. and Health Management
Systems, Inc.
Dr. Smith is the Executive Vice President of Genomic
Strategies and Chief Medical Officer of AmeriPath. He
also holds the position of Managing Director of AmeriPath
Laboratory Physicians, Jacksonville. Currently, Dr. Smith
sits on the Board of Trustees of the National Blood Foundation
and on the Board of Directors of the Florida-Georgia
Blood Alliance. He is also a member of the Vanderbilt
University School of Engineering's Committee of Visitors.
Dr. Smith was previously President of the American Association
of Blood Banks, Director and Executive Head of the American
Red Cross Blood Services, Nashville Region, Chairman
of the National Blood Foundation, and a member of the
Board of Directors of Immucor, Inc.

diagnostics, genomics, and related information services.
In the first nine months of 2001, AmeriPath diagnosed
2.9 million tissue biopsies, and interpreted 1.6 million
Pap smears. The Company's extensive diagnostics infrastructure
